Clifford Chance Advises Shell on $4billion IT Infrastructure Outsourcing

Lawfuel – Royal Dutch Shell (Shell) announced on 31 March 2008 that it has outsourced a significant part of its IT Infrastructure and telecommunications services.
The services have been outsourced to three different suppliers: AT&T for network and communications, T-Systems for hosting and storage, and EDS for end user computing services and operational integration of the infrastructure services.
In one of the largest private sector outsourcings to date, the three suppliers will cover services in 140+ countries for a minimum of 5 years and the total value of the deal to the three suppliers is in excess of $4 billion.
Clifford Chance Partner André Duminy comments: “In innovative multi-vendor, multi-jurisdictional outsourcings of this scale it is important to work closely with the client to ensure that their requirements are captured in the bespoke contractual documents. We have really enjoyed working with Shell to assist with the success of this significant project.”
Shell legal team lead Siw Hendriks comments: “Clifford Chance has advised Shell in relation to outsourcing since 2006 and has been involved in this project from very early stages all the way through to signature. Clifford Chance, working in partnership with Shell’s legal department and other external advisors, has advised on all aspects of the deal including the overall structure, identifying and mitigating deal risks, and preparing and negotiating the contractual documents.”
The advisory team of Clifford Chance was lead by CMT partner André Duminy (London) and head of Clifford Chance’s global outsourcing group David Griffiths (London) and included partners Jeroen Koster (Amsterdam) and Bernd Meyer-Witting (Frankfurt). Other members of the team included Milou Meijer, Ros du Toit (both Amsterdam) and Louise Campbell (London).
