LONDON/BRUSSELS – LawFuel – Law Firm Announcements – Allen & Overy LLP announced today that it advised the underwriters, including BNP Paribas, Deutsche Bank and JP Morgan as joint global coordinators and joint bookrunners, on the EUR6.36 billion (USD9.8bn) eight for five rights issue by Anheuser-Busch InBev, the recently merged Belgium-based brewer.
The proceeds of the rights offering will be used to refinance part of the consideration paid in connection with InBev’s takeover of Anheuser-Busch, which closed on 18 November 2008.
Commenting, Equity Capital Markets partner Christopher Bernard said: “This is the largest rights issue by a non-financial institution this year and the third largest ever. The transaction, on which we provided advice on Belgian, English and US law, demonstrates our ability to provide a cross-jurisdictional team to our clients and follows our work on HBOS’s GBP4bn, Imperial Tobacco’s GBP4.9bn and Carlsberg’s GBP3.2bn rights issues earlier this year.”
