Skadden Acts on Brazil’s First IPO in 2015

Skadden recently advised on two landmark corporate finance transactions: the first IPO in Brazil since October 2014 and the first international bond issuance by a Brazilian company since November 2014.

In the first IPO by a Brazilian company this year, we represented insurance broker Par Corretora in its initial public offering and listing on the BM&FBOVESPA, including an international Rule 144A/Regulation S secondary offering of existing shares, in which existing shareholders fully or partially sold their stakes.

Separately, Skadden advised a syndicate of investment in relation to a €500 million 10-year Rule 144A/Regulation S bond issuance by Votorantim Cimentos, the cement and concrete producing unit of Votorantim Participações SA, Brazil’s largest diversified industrial holding company. Votorantim Cimentos is the first Brazilian company to tap the international debt capital markets this year.

Earlier this year the Commission issued its Green Paper on Building a Capital Markets Union to stimulate debate on removing the many obstacles to deep and integrated capital markets.
