Weil, Gotshal & Manges LLP Advised Systems Management Arts Inc. in Approximately $260 Million Sale to EMC Corp.

New York, December 21, 2004 – Weil, Gotshal & Manges LLP, one of the world’s leading law firms, advised Systems Managment Arts Inc. (“SMARTS”), a privately held maker of event automation and real-time network systems management software, in its acquisition by EMC Corp for approximately $260 million. The merger agreement was signed on December 20, 2004, and the acquisition is expected to be completed in the first quarter of 2005 subject to customary closing conditions and regulatory approvals.
