Kyiv – DLA Piper has advised Dragon-Ukrainian Properties & Development PLC, an AIM-listed real estate investment company, on the acquisition of a minority interest in a company which owns five retail projects in Ukraine, including Sky Mall in Kyiv. The value of the transaction amounted to USD $30 million, and has become one of the largest transactions in the Ukrainian commercial real estate market in 2010.
During the acquisition, the team at DLA Piper conducted legal due diligence, reviewed loan agreements, prepared all necessary transaction documentation, including shareholders agreement, subscription agreement, and advised on obtaining consent of the Antimonopoly Committee of Ukraine.
The DLA Piper team was led by Natalia Kochergina, partner and Head of Real Estate (Kyiv). Other members of the team included senior associates Anastasiya Bolkhovitinova and Natalia Pakhomovska, and associates Dmytro Pikalov, Natalia Levchuk, and Sergiy Portnoy. Rosemary Bointon, of counsel, provided advice on English law matters.
