DLA Piper Avises NEC on Aquistition of Netcracker Technology in Japan-US M&A Tranaction

Tokyo (LAWFUEL) – DLA Piper today announced it advised NEC Corporation (NEC) in connection with its acquisition of NetCracker Technology Corporation (NetCracker). The consummation of the transaction, which is subject to customary closing conditions and is expected to occur within the next 60 days, will represent a major overseas expansion move by one of Japan’s largest information technology and electronic companies. The cross-border M&A transaction involved legal counsel across multiple jurisdictions including the US, UK, Russia, Ukraine and Australia where NetCracker has operations.

Lance Miller, Office Managing Partner of DLA Piper’s Tokyo office together with Jonathan Klein, Partner in the New York office, and more than 50 DLA Piper lawyers across 10 offices are involved in this cross-jurisdiction project providing an integrated legal counsel to NEC. UBS acted as NEC’s financial advisor.

The synergy of assets with NetCracker is expected to significantly boost NEC’s offerings, reinforcing its ability to serve businesses which have rapidly evolving IP and service diversification needs.

NetCracker, a specialist in streamlining networks and communications services, is a US-based privately held company providing operational support systems to telecommunications companies. The company will bring know-how of transforming operations supports systems to the new partnership, accelerating NEC’s international software business. Following closure of the transaction, NetCracker will operate as an independent business unit, becoming the centrepiece of NEC’s communications service provider software business.
