LAWFUEL – Legal News Network – Mayer, Brown, Rowe & Maw LLP is advising Fujitsu Services on the acquisition of the majority of shares in TDS AG in Neckarsulm. Corporate partner Dr. Ruediger Herrmann from the firms Frankfurt office is leading the team advising on this transaction. He is assisted by partners Mark Walker, Dr. Ulrike Binder, and Dr. Hans-
Georg Kamann, who are advising in the areas of corporate law, capital markets law, and cartel law, respectively. Fujitsu Services will acquire most of the shares from the financial investor General Atlantic. Other shareholders have also offered their shares to Fujitsu Services. As a result, Fujitsu Services will hold 79.1 percent of the shares. The
transaction still requires approval by the relevant cartel authorities.
A public takeover offer will be submitted subsequently.
