US Law – LawFuel, The Law News Network – NEW YORK – September 26, 2006 – Debevoise & Plimpton LLP is advising Aggreko plc in its definitive agreement with General Electric Company to acquire substantially all the activities, other than those relating to large gas turbines, of GE Energy Rentals. The total consideration, assuming delivery of and payment for certain assets post closing, is expected to be approximately US$206 million, subject to adjustment, payable in cash. The maximum consideration is US$212 million. The transaction is structured as a purchase of assets along with stock in certain companies. Completion is contingent upon a number of conditions, including the receipt of approvals from the relevant regulatory authorities.
