Houston, Dec. 22, 2008 – LawFuel Law Announcements – Anthony (Tony) Eppert joined Winstead PC’s Houston office from Shearman & Sterling as of counsel in the Taxation, Employee Benefits & Private Business Practice Group. Eppert serves both public and privately-held clients and their boards of directors in a broad range of compensation and benefits matters, including the designing and drafting of equity and synthetic equity arrangements.
For publicly-held clients, Eppert advises on compliance with proxy disclosure rules (e.g., the CD&A), prospectuses, Section 16 issues/filings, listing rules under national stock exchanges, and other filings required under the 1933/34 Securities Acts. For privately-held clients, Eppert advises on issues relating to Rule 701, state blue sky laws, and implementation of compensation strategies prior to the initial public offering of common stock.
Eppert is well versed in Section 409A, its application to non-qualified deferred compensation arrangements (e.g., SERPs, excess benefit plans), and the use of various funding mechanisms such as rabbi trusts. Additionally, he performs analyses under Sections 280G and 162(m); resolves compensation issues in mergers and acquisitions; and advises on separation pay issues, change in control bonus arrangements, and fringe benefit programs. Eppert also has significant experience representing companies and executives in the negotiation of executive compensation arrangements.
Eppert’s legal experience also includes advising companies and shareholders on the sale of common stock to an employee stock ownership plan (an ESOP), implementing the resulting corporate transaction, and advising on the related fiduciary issues.
A member of the National Association of Stock Plan Professionals (NASPP), the National Center for Employee Ownership (NCEO), the National Institute of Pension Administrators (NIPA), and the Society for Human Resource Management, Eppert received his J.D. from Michigan State University College of Law and his LL.M. (Taxation) from New York University School of Law. He served as a judicial clerk to the Honorable Richard F. Suhrheinrich of the United States Court of Appeals for the Sixth Circuit.
